6. Payment Terms
Fees for our Services are set forth in your service agreement or order form. You agree to pay all fees as specified. Payment terms, including billing cycles and methods, will be detailed in your service agreement. Failure to pay may result in suspension or termination of Services.
7. Intellectual Property
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and designs, are owned by VestaCare or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
8. Data and Confidentiality
You retain ownership of your data. We will maintain the confidentiality of your data in accordance with our Privacy Policy and applicable agreements. We may use aggregated, anonymized data for analytics and service improvement purposes.
9. Service Availability and Modifications
We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. We will provide reasonable notice of material changes when possible.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VESTACARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
11. Indemnification
You agree to indemnify, defend, and hold harmless VestaCare and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.
12. Termination
Either party may terminate access to the Services in accordance with your service agreement. Upon termination, your right to use the Services will immediately cease. We may terminate or suspend your account immediately for violation of these Terms or applicable laws.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of San Diego County, California.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
